We appreciate many reorganisations are driven by tax planning and we work closely with your tax advisors to deliver projects in a timely manner. Clients and advisers often bring us in during the very early stages of planning and we combine our commerciality with deep legal knowledge to ensure the commercial drivers can be aligned with the available legal frameworks.
It is also common for reorganisations to be a precursor to a sale or other commercial event, and as such, there can be deadlines and time pressures on the client to complete their restructure on time. Examples of reorganisations we have worked on include:
- Demerger of a corporate group valued at £46 million to allow for management team in the group to focus on the development and growth of their respective divisions, being equine, leisure, agriculture and veterinary.
- Capital reduction demerger of a leisure company worth £3 million in advance of a sale to extract cash and property investments.
- Section 110 liquidation demerger of a manufacturing company to create 2 separate trading groups.
