Like a building, a company needs solid foundations. The rules and governance of a company play a vital role in its success. The corporate team at Harrison Drury regularly advises owners and companies alike in relation to corporate governance, making sure that the building blocks of the company are robust and promoting success and growth as well as avoiding disputes.

Having worked closely with our commercial litigation team, we can see how those foundations can crumble if they are not looked after. Corporate governance can be broken down as follows:

  • Controls over what decisions directors and shareholders can make, either on their own or with consent from specified other parties.
  • The ownership structure of a company, including the creation of different share classes.
  • Safeguarding minority shareholder rights.
  • Knowledge of shareholder and directors’ roles and responsibilities within a company.
  • Family company charters.

Our corporate solicitors are experienced in drafting shareholder agreements to regulate the relationship between the members of a company. We appreciate that no company is the same and each agreement can be tailored to fit that company’s model.

In addition to this, we look at articles of association to ensure that any relevant provisions dovetail between the key constitutional documents for a company.  We can recommend amendments so that companies are less restricted whilst continuing to be fully compliant with the law.

We are also on hand to provide support to people within the company who need some guidance as to their rights. The Companies Act 2006 is the biggest single piece of legislation ever enacted into UK law and we can provide sound legal advice and guidance to clients in this complex area of law.
